SeniorPath Terms of Service

Looking for how we handle your data? Read our Privacy Policy, including Google account, Gmail, and Calendar access, use, storage, sharing, retention, and deletion. These Terms explain the rules for using SeniorPath.

These Terms of Service (“Terms”) govern access to and use of SeniorPath, including the SeniorPath web application, Field Companion mobile application, and related family- or client-facing experiences (together, the “Services”). The Services are provided by SeniorPath Software LLC (“SeniorPath,” “we,” “us,” or “our”).

By creating an account, accepting an order, clicking an acceptance button, or using the Services, you agree to these Terms. If you use SeniorPath for an agency or other organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Services.

For quick reference, subscriptions may be monthly or annual and new customers may receive a 14-day trial. These Terms are governed by Arizona law and include individual arbitration and court-venue provisions for Maricopa County, Arizona. Please read the complete terms below before using the Services.

1. The SeniorPath service

SeniorPath is software for senior placement agencies and their teams. Depending on the plan and configuration, it can help organize intake, family decisions, resident assessments, facility matching, tours, referral partners, outreach, placement outcomes, fee risk, analytics, and compliance evidence. The Services may also support carefully scoped information sharing with families, clients, facilities, and other participants selected by an agency.

Features, availability, limits, and plan entitlements are described in the applicable order or plan information. We may improve, change, or discontinue a feature, but we will not use a change to remove obligations that have already accrued.

2. Accounts and access

You must provide accurate information, keep credentials confidential, and promptly update information that becomes inaccurate. Each login is for the assigned user unless the applicable plan expressly allows otherwise. You are responsible for activity under your account and for configuring roles, permissions, connected integrations, and family/client recipients appropriately.

Tell us promptly at hello@seniorpath.ai if you believe an account, credential, or integration has been compromised. We may suspend access that creates a security, legal, or operational risk, and will use reasonable efforts to restore legitimate access after the issue is addressed.

3. Your responsibilities

You are responsible for:

  • the accuracy, lawfulness, and appropriateness of content entered or sent through the Services;
  • giving clients, residents, families, partners, and other people any notices and choices required for your workflow;
  • reviewing recipients, permissions, facility information, compliance records, and outgoing communications before relying on them;
  • maintaining appropriate backup, retention, access-control, and security practices for your organization; and
  • complying with applicable laws, professional duties, facility requirements, and contracts.

SeniorPath is a tool for agency operations. It does not select a facility, provide medical or legal advice, act as a fiduciary, determine eligibility, guarantee a placement, or replace a qualified professional, agency judgment, or required disclosure.

4. Acceptable use

You may use the Services only for lawful agency, placement, communication, research, and administrative purposes authorized by your organization. You may not:

  • use the Services to violate a law, regulation, court order, or another person’s rights;
  • upload malware, credentials, payment-card data, or information you are not permitted to process;
  • misrepresent SeniorPath, impersonate another person, or send unlawful, deceptive, harassing, or unsolicited communications;
  • probe, scan, disrupt, overload, reverse engineer, or bypass security or access controls;
  • copy, resell, lease, sublicense, or make the Services available as a service bureau except as expressly authorized;
  • use automated extraction or bulk requests to build a competing directory or service, or violate a connected provider’s terms; or
  • use AI output, facility information, or compliance content without human review where the consequences of error matter.

5. Customer content and data

As between you and SeniorPath, you retain rights in content you submit to the Services (“Customer Content”). You grant SeniorPath a limited, worldwide, non-exclusive license to host, copy, transmit, display, modify for formatting, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Services, comply with law, and carry out your instructions.

You represent that you have the rights and permissions needed for Customer Content and your instructions. You authorize SeniorPath to send Customer Content to connected providers when you enable an integration or request a feature that uses that provider. Your use of the Services is also subject to the Privacy Policy, which describes information processing and service providers.

SeniorPath may use aggregated or de-identified information that does not reasonably identify you, an agency, or an individual to operate, analyze, and improve the Services. We do not publish your confidential Customer Content as a public directory. Agencies remain responsible for their own exports, notices, retention decisions, and disclosures to families, facilities, and partners.

6. AI-assisted output

Some features may draft messages, summarize records, classify information, suggest follow-up, or surface workflow ideas using machine-learning or generative-AI systems. These features are optional assistance. Output can be incomplete, inaccurate, stale, biased, or inappropriate for a particular person or situation.

You must review AI-assisted output for accuracy, tone, recipient, authorization, privacy, and legal or operational impact before using, sending, or saving it. Do not treat it as medical, legal, financial, compliance, or placement advice. SeniorPath does not guarantee that AI output is unique, error-free, or fit for a particular purpose, and you are responsible for decisions and communications based on it.

7. Sensitive and health-related information

Placement work may involve care needs or other sensitive information. You must minimize information, use appropriate access controls, obtain required permissions, and follow the laws and agreements applicable to your organization and the people it serves. Do not use a contact form for sensitive client details.

SeniorPath does not represent that the Services are HIPAA compliant or that a particular customer’s use satisfies HIPAA or another health-information law. The parties’ roles and obligations depend on the facts and any applicable agreement. This language is conservative and subject to attorney review; it is not legal advice, a BAA, or a certification.

8. Integrations and third-party services

The Services may connect with third-party services such as Clerk for authentication, Google Gmail and Calendar for authorized communications and scheduling, Google Places and Maps for facility research, Stripe for billing, and OpenAI for requested AI-assisted features. You control whether to enable an available integration and what permissions to grant, subject to the feature’s operation.

Google account, Gmail, and Calendar connections

Connect only accounts you are authorized to use for your agency. Google sign-in and permission to access Gmail or Calendar are separate authorizations. By enabling an integration, you authorize SeniorPath to perform the disclosed actions within your granted permissions and chosen workflows. You remain responsible for your recipients, message content, attachments, calendar details, and any notices or permissions required to share another person’s information.

Gmail features may read relevant correspondence, synchronize replies and history, and send messages or replies from your connected account. Calendar features may read scheduling information and create, update, or remove linked events. Scheduled or enabled synchronization workflows may operate while you are not actively using SeniorPath. Review recipients and sensitive details before authorizing sends or event invitations. Do not use these features for spam, unauthorized surveillance, or unlawful disclosures.

Google data handling, including optional AI-assisted processing, is governed by our Google user data privacy disclosures and the Google API Services User Data Policy, including Limited Use. These Terms do not grant SeniorPath a right to sell Google user data, use it for advertising, or use it to train general-purpose AI models.

You may disconnect an integration or revoke permissions in your Google Account. Dependent features may then stop or require reconnection. Revocation does not recall delivered messages, remove invitations already shared, or automatically delete retained agency records. See the Privacy Policy for deletion requests and retention. Google may restrict or revoke API access independently of SeniorPath; connection does not imply Google endorsement or certification of SeniorPath.

Third-party services are not controlled by SeniorPath. Their terms, privacy practices, availability, and fees may apply. A provider outage, API change, permission change, or inaccurate third-party information may affect a feature. SeniorPath is not responsible for third-party services except to the extent the law does not allow that limitation.

9. Fees, subscriptions, and the 14-day trial

SeniorPath offers monthly and annual subscription options. The price, included features, billing unit, and any usage or seat limits are shown in the applicable order or plan information. Unless that information says otherwise, a new customer may receive a 14-day trial beginning when the account is activated.

If you use agency invoicing, your organization, not SeniorPath, issues the invoice, supplies the goods or services, and is the merchant of record. An operator-owned Stripe account may collect invoice payments. You control that account and are responsible for payment methods, payouts, refunds, disputes, chargebacks, negative balances, taxes, customer terms, and compliance with applicable contracts and law.

Stripe processing costs are separate, variable charges governed by your Stripe agreement. SeniorPath does not guarantee a fixed all-in processing rate. SeniorPath separately charges an application fee on payment transactions at 0.4% for Solo and 0.1% for Agency, based on the applicable plan snapshot shown in the Services. Refunds, reversals, and application-fee adjustments are handled as disclosed in the product and applicable order and may not reverse every third-party cost.

Owner and counsel review required before enabling payments: confirm refund terms, privacy notices, tax treatment, and any state-specific referral-fee timing, disclosure, licensing, or professional-conduct requirements.

A trial may require a valid payment method and will end at the time shown during sign-up. Unless canceled before the trial ends, the subscription may begin and the selected billing method may be charged. Subscription charges are billed in advance for the applicable monthly or annual period. Stripe processes payments and may apply its own terms and privacy policy.

You authorize recurring charges for the selected plan until cancellation. Taxes, payment-processor charges, failed-payment fees, and other disclosed charges may apply. If payment fails, we may retry, limit access, or suspend the account after reasonable notice. We may change subscription prices or plan terms prospectively with notice through the Services or another reasonable channel.

10. Cancellation and termination

You may cancel a subscription through the available account control or by contacting us at hello@seniorpath.ai. Unless the applicable order says otherwise, cancellation takes effect at the end of the current paid period. You will retain access through that period, and subscription fees already paid are not refundable except where required by law or expressly stated in the order.

We may suspend or terminate access for nonpayment, material breach, misuse, legal requirement, security risk, or discontinuation of the Services. On termination, your right to use the Services ends. Provisions that should reasonably survive, including payment obligations, ownership, confidentiality, disclaimers, limits of liability, indemnification, and dispute terms, will survive.

11. Ownership and feedback

SeniorPath and its licensors own the Services, software, design, documentation, trademarks, improvements, and other materials we provide, excluding Customer Content. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during an active subscription and only as permitted here.

If you provide suggestions or feedback, you allow SeniorPath to use it without restriction or compensation, provided we do not identify you or disclose Customer Content as the source of the feedback without permission.

12. Electronic communications

You consent to receive notices, invoices, disclosures, and other communications electronically through the Services or at the email address associated with your account. Electronic notices satisfy a writing requirement where permitted by law. You must keep an accessible email address current and may withdraw consent by stopping use of the Services, although doing so may prevent us from providing them.

13. Confidentiality

Each party may receive non-public information from the other that a reasonable person would understand to be confidential. The receiving party will use reasonable care, use it only for the relationship, and disclose it only to people or providers who need it and are bound to protect it, or as required by law. Confidential information does not include information that is public without breach, already known without duty, independently developed, or lawfully received from another source.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SeniorPath disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, availability, accuracy, and uninterrupted or error-free operation. We do not warrant that the Services will meet every agency requirement, preserve every record, prevent every security incident, provide a suitable facility or placement, or make any compliance, legal, medical, or business outcome. Some jurisdictions do not allow all disclaimers, so parts of this section may not apply to you.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENIORPATH AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

To the maximum extent permitted by law, SeniorPath’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the fees you paid or owed to SeniorPath for the three months before the event giving rise to the claim. This limit does not apply to liability that cannot legally be limited.

16. Indemnification

You will defend, indemnify, and hold harmless SeniorPath and its officers, members, employees, and suppliers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your communications or disclosures, your breach of these Terms, your unlawful or unauthorized use of the Services, or your violation of another person’s rights or applicable law. We will give reasonable notice and allow you to control the defense, provided you do not settle a claim in a way that admits fault or imposes an obligation on us without our consent.

17. Governing law and disputes

These Terms and any dispute related to them are governed by Arizona law, without regard to conflict-of-law rules. Before starting a formal proceeding, the parties will try in good faith for 30 days to resolve the dispute by written notice to hello@seniorpath.ai. This informal step does not prevent either party from seeking urgent temporary relief.

Except for eligible small-claims matters, requests for injunctive or equitable relief, intellectual-property disputes, or matters that cannot legally be arbitrated, any unresolved dispute will be resolved by confidential, individual binding arbitration in Maricopa County, Arizona under the applicable American Arbitration Association rules. The arbitrator may award the same individual relief available in court. Neither party may bring a dispute as a class, collective, or representative action, and the arbitrator may not combine claims without written consent.

Courts located in Maricopa County, Arizona have exclusive jurisdiction over matters excluded from arbitration and any action to enforce an arbitration award. Each party waives a jury trial to the extent permitted by law. If a provision of this section is unenforceable, the remainder will be enforced to the fullest extent permitted.

18. General terms

These Terms, the applicable order or plan information, and policies incorporated by reference are the entire agreement about the Services and replace prior representations on that subject. If an order conflicts with these Terms, the order controls for that conflict. You may not assign these Terms without our consent. We may assign them in connection with a merger, reorganization, or transfer of the Services. A waiver must be written, and a delayed exercise of a right is not a waiver. If part of these Terms is unenforceable, the rest remains in effect.
